Cisco WebEx Terms of Service

Welcome to Cisco WebEx! Please read these Terms of Service carefully. These Terms of Service create an agreement (the "Agreement") between you and Cisco WebEx LLC, or if you are located outside of North America or South America, the WebEx entity located at
http://www.webex.com/contracting-entity-terms-of-service.html ("WebEx") regarding your use of the ability to share your WebEx meetings and other content and view meetings/content shared by other WebEx users ("Together@WebEx Functionality"). If you do not agree to this Agreement, please click the "Cancel"/"Back" button and do not use the Together@WebEx Functionality.

If you are under 18, or if you are considered a minor in your state or country, you must obtain the consent of your parent or legal guardian to register for the Together@WebEx Functionality

  1. Requirements for Use

    To access the Together@WebEx Functionality, you will need your own computer and high-speed internet access.

  2. Registration

    To register, you will need a user name, physical address, email address, password and other information (the "Registration Information"). You are responsible for maintaining the confidentiality and security of your Registration Information and for any and all activity that occurs under your account. You agree to notify WebEx of any unauthorized use or breach of your account.

  3. Data, Information and Privacy

    You agree that WebEx may collect, use, process and store information about you and your use of the Together@WebEx Functionality, including the transfer of such information to the United States and/or another country outside the European Economic Area. In addition, information that you submit to WebEx in connection with the Together@WebEx Functionality will be handled in accordance with our privacy statement located at: http://www.cisco.com/web/siteassets/legal/privacy.html. WebEx may use information collected by WebEx, including technical or diagnostic information, your suggestions or feedback, to maintain, improve and enhance the Together@WebEx Functionality.

  4. Your Responsibilities as a WebEx User; License to Your Content

    You are responsible for the content of all visual, written or audible communications and any other material ("Content") used in connection with your account. WebEx will not be liable to you or any others for any loss or damages due to your use of the Together@WebEx Functionality. You agree to indemnify, defend and hold harmless WebEx from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys' fees) arising from your violation of this Section 4 or for any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive this Agreement and your use of the Together@WebEx Functionality.

    You agree not to upload, post, email, transmit, distribute, or otherwise exploit or make available any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise deemed objectionable by WebEx or its affiliates.

    You agree not to upload, post, email, or transmit, distribute, or otherwise exploit or make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letter," "pyramid schemes," "affiliate links," or any other form of solicitation.

    You agree not to upload, post, email, transmit, distribute or otherwise exploit or make available any Content that infringes or violates copyright, trademark or other laws protecting intellectual property, or that violates an individual's publicity or privacy rights.

    You agree not to upload, download, transmit, distribute, or otherwise exploit or make available any code or material that harms or interferes with any device, software, network or service.

    You agree not to violate any laws or regulations in your state or country (including but not limited to laws governing intellectual property rights, online conduct or online content).

    You agree that you have all the rights, licenses, and permissions from third parties to use, reproduce, publish, and display Content belonging to others.

    You agree that you have the consent, release, and/or permission of each identifiable person depicted in your Content to broadcast, upload, transmit, publish and/or disseminate his or her name and/or likeness through the Together@WebEx Functionality.

    WebEx has no control over, and is not responsible for, the privacy of any Content that you have shared with others so always use caution when giving out any personally identifiable or sensitive information.

    You understand that WebEx does not guarantee any confidentiality with respect to any Content you submit.

    You automatically grant WebEx and its affiliates (and its successors, assigns, and third-party service providers), contractors, resellers and partners, a world-wide, royalty-free, transferable, sublicensable, perpetual, irrevocable license to use, copy, adapt, modify, publicly display, perform, reproduce and distribute the Content in order for WebEx to provide you the Together@WebEx Functionality and in any medium and by any means currently existing or yet to be devised, in each case as may be required to provide the Together@WebEx Functionality. You also hereby grant to each user of the Together@WebEx Functionality a non-exclusive license to access and view your Content. You hereby waive any moral rights you might have with respect to the Content you provide. The above licenses granted by you in Content you submit using the Together@WebEx Functionality terminate within a commercially reasonable time after you remove or delete your Content using the Together@WebEx Functionality. You understand and agree, however, that WebEx may retain, but not display, distribute, or perform, server copies of your Content that have been removed or deleted. The above licenses granted by you in user comments you submit are perpetual and irrevocable.

    You acknowledge that you must use your own judgment as to how to use the Together@WebEx Functionality. The Together@WebEx Functionality is not intended for the sharing of sensitive information such as financial data, medical information or other content that could cause harm if made public. While the Together@WebEx Functionality is designed to provide access to Content to anyone, Content might be intercepted, lost, damaged or misdirected because of user error, hacking, viruses or problems with your internet connection, and WebEx is not responsible for the results of such events. Further, you understand that WebEx is not responsible for what your chosen recipients may do with the Content you share.

    If you object to any Content, your sole remedy is to cease using the Together@WebEx Functionality. Content is provided to you AS IS. You may access Content for your information and personal use solely as intended. You shall not copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Content for any other purposes without the prior written consent of WebEx or the respective licensors of the Content. WebEx and its licensors reserve all rights not expressly granted in and to the Together@WebEx Functionality and the Content.

    You understand that when using the Service, you will be exposed to Content from a variety of sources, and that WebEx is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Content. You further understand and acknowledge that you may be exposed to Content that is inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against WebEx with respect thereto, and, to the extent permitted by applicable law, agree to indemnify and hold harmless WebEx, its owners, operators, affiliates, licensors, and licensees to the fullest extent allowed by law regarding all matters related to your use of the Together@WebEx Functionality.

    Please note that while WebEx is not responsible for any Content that you choose to share, transmit, download, access or otherwise use in connection with the Together@WebEx Functionality, WebEx reserve the right to take such action as we (a) deem necessary or (b) are otherwise required to take by a third party, court, or government authority, in any country, in each case in relation to your access or use of such content or data. Such action may include, without limitation, suspending or discontinuing your use of the Together@WebEx Functionality immediately and without compensation to you. Such action may also include disclosure of your Content in our possession as required under applicable law as provided in our privacy statement.

  5. Software

    You may be required to download and install WebEx software to use the Together@WebEx Functionality ("Software"). In that event, WebEx agrees to provide you with a limited, personal, non-exclusive, non-transferable, non-sublicensable license to use the Software in accordance to the terms of this Agreement. You may not use the Software for anything other than as intended by WebEx in connection with your use of the Together@WebEx Functionality. You may not use the Software with any device, program or service designed to circumvent technological measures employed to control access to, or the rights in, a content file or other work protected by copyright laws. All rights not expressly granted by WebEx are hereby reserved. You agree not to take any action to interfere with WebEx's or its supplier's ownership of or rights in the Software. You agree that, unless otherwise permitted in this license or by law, you will not: (i) reproduce, republish, display, frame, download, distribute, or transmit the Software; (ii) to the extent permitted under applicable law redistribute, encumber, sell, rent, lease, loan, sublicense, assign, or otherwise transfer rights to the Software; (iii) modify or create any derivative works based on the Software, including customization, translation, or localization; (iv) copy, reproduce, reuse in another product or service, modify, alter, or display in any manner any software or files, or parts thereof, included as part of the Software; (v) except to the extent expressly permitted by law, decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the Software, or in any way ascertain, decipher, or obtain the communications protocols for accessing the Software, or the underlying ideas or algorithms of the Software; (vi) create or use any software other than as authorized by WebEx to access the Software; (vii) attempt to gain unauthorized access to the Software or to any account, application, platform, computer system or network associated with the Software; (viii) use the Software in any way that violates this Agreement, or any other agreements between you and WebEx or its affiliates, or any law; and (ix) remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels in or on the Software or associated with the Together@WebEx Functionality.

  6. Availability of the Together@WebEx Functionality

    The Together@WebEx Functionality may not be available in all countries and it may not be available for use in any particular location. You are responsible for following the laws in your state or country. WebEx may make modifications to its features or any Together@WebEx Functionality to comply with laws and regulations. WebEx owns all the proprietary rights and interests in the Together@WebEx Functionality. WebEx reserves the right to discontinue any aspect of the Together@WebEx Functionality at any time.

  7. Suspension or Termination of Your Account

    You agree that WebEx may suspend or terminate your access to the Together@WebEx Functionality without notice if: (a) WebEx determines that you have violated this Agreement or (b) WebEx is required to do so by any court or government authority in any country.

    WebEx may, upon such termination, deactivate or delete your account and any related data, information, and files, and bar any further access to such data, information, and files. Such action may include, among other things, accessing your Content or data and/or discontinuing your use of the Together@WebEx Functionality without compensation.

    You agree that WebEx has no obligation to monitor your use of the Together@WebEx Functionality but has the right to do so to ensure your compliance with this Agreement, or to comply with any law, order, or requirement of any court or government authority in any country.

    You agree to comply with the following sections of this Agreement even after you are no longer using the Together@WebEx Functionality: Sections 3, 4, 5, 7, 10, 12, 13 and 15.

  8. Content Retention and Access

    WebEx may limit how long any Content is available and may remove any Content at any time and without notice. WebEx may also limit the size of files as well as the total amount of Content you may upload based on capacity, system performance or any other constraints. You are responsible for making backup copies you want to retain.

  9. Links to Third Party Sites

    The Together@WebEx Functionality may contain links to third party websites that are not owned or controlled by WebEx. WebEx has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, WebEx will not and cannot censor or edit the content of any third-party site. By using the Together@WebEx Functionality, you expressly relieve WebEx from any and all liability arising from your use of any third-party website. Accordingly, we encourage you read the terms and conditions and privacy policy of each other website that you visit.

  10. Copyright Policy Regarding Third Parties

    If you believe that WebEx or any of its affiliates or any user of WebEx has violated a copyright, please contact us at: DMCAagent@cisco.com for details on how to properly notify us of a potential copyright infringement or other intellectual property rights issue.

  11. Use of Your Name and Logo

    You agree that WebEx may use the name, logo and other trademarks or service marks of your company as part of the delivery of the Together@WebEx Functionality.

  12. No Warranties

    To the maximum extent permitted by applicable law, you agree to use the Together@WebEx Functionality at your own risk. You agree that WebEx and its suppliers, resellers and affiliates will not be responsible for any harm to any device, any loss of data, or any other harm that results from your use of the Together@WebEx Functionality. WEBEX AND ITS SUPPLIERS, RESELLERS AND AFFILIATES DO NOT GUARANTEE THAT YOUR USE OF THE TOGETHER@WEBEX FUNCTIONALITY WILL BE UNINTERRUPTED OR ERROR-FREE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOGETHER@WEBEX FUNCTIONALITY IS PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE WITHOUT WARRANTIES OR CONDITIONS, EITHER EXPRESS, IMPLIED, OR STATUTORY. WEBEX AND ITS SUPPLIERS, RESELLERS AND AFFILIATES DO NOT MAKE ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, QUIET ENJOYMENT, OR NONINFRINGEMENT. THE LAWS OF CERTAIN STATES AND JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE DISCLAIMERS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS THAT VARY FROM STATE TO STATE OR JURISDICTION TO JURISDICTION.

  13. Limitation of Liability

    YOU AGREE THAT WEBEX, AND ITS SUPPLIERS, RESELLERS AND AFFILIATES WILL NOT BE LIABLE TO YOU OR ANY OTHERS FOR: A) ANY CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE TOGETHER@WEBEX FUNCTIONALITY; AND B) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE TOGETHER@WEBEX FUNCTIONALITY, EVEN IF WEBEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ACKNOWLEDGE THAT WEBEX SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU. YOU AGREE THAT THE LIABILITY OF WEBEX AND ITS SUPPLIERS, RESELLERS AND AFFILIATES TO YOU FOR ANY CLAIM WILL BE LIMITED TO $50. IN THE PREVIOUS TWELVE (12) MONTHS PRECEDING THE EVENT OR CIRCUMSTANCES GIVING RISE TO SUCH CLAIM EVEN IF ANY REMEDIES FAIL OF THEIR ESSENTIAL PURPOSE. THE LAWS OF CERTAIN STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS THAT VARY FROM STATE TO STATE OR JURISDICTION TO JURISDICTION.
    WebEx makes no representations that the Together@WebEx Functionality is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.

  14. Changes to this Agreement

    WebEx may change the terms of this Agreement and recommends that you review them on a regular basis. You can review the most current version of this Agreement at:
    http://www.webex.com/webinars/about/terms-of-service-content-sharing. If WebEx makes a change to the terms it will post the revised Agreement at the link above. You agree that your continued use of the Together@WebEx Functionality after this Agreement has been changed means that you have agreed to the changed terms.

  15. Other Legal Terms

    15.1    Sometimes when you use the Together@WebEx Functionality, you may also use a service or purchase goods which are provided by another person or company. Your use of these other services or goods may be subject to separate terms between you and the company or person concerned, and you agree that WebEx shall have no liability or obligation relating to those services or goods.

    15.2    Trade names, trademarks, service marks, logos, and domain names of each party are considered their respective "Marks." As to WebEx's Marks and the Marks of its suppliers, the Markowner retains ownership of all proprietary rights in all its Marks associated or displayed with the Together@WebEx Functionality. You may not frame or utilize framing techniques to enclose any WebEx Marks, or other proprietary information (including images, text, page layout, or form) of WebEx without WebEx's express written consent. You may not use any meta tags or any other "hidden text" utilizing WebEx Marks without WebEx's express written consent. You shall retain ownership of all proprietary rights, copyright and any other rights you already hold in your Marks.

    15.3    You agree to comply with all laws and regulations in connection with your use of the Together@WebEx Functionality, including, but not limited to: (a) with respect to personally identifiable information sent or received by you, all privacy laws and regulations, (b) laws relating to the recording of communications, including, when required, advising all participants in a recorded WebEx meeting or event that the meeting or event is being recorded or that Content or personal information is being transferred outside the European Economic Area, and (c) laws relating to the use of VoIP-based services. It is your responsibility to ensure that you have the right to use the Together@WebEx Functionality where you are located. You agree that the use of WebEx is subject to U.S. and local export control laws and regulations. You represent that you are not a citizen of an embargoed country or a prohibited end user under applicable U.S. or local export and anti-terrorism laws, regulations and lists. You agree not to export, re-export, divert, transfer or disclose any portion of the Together@WebEx Functionality or any related technical information or materials, directly or indirectly, in violation of any applicable export law or regulation.

    15.4    This Agreement, including the documents referred to in this Agreement, are the entire agreement regarding the Together@WebEx Functionality and completely replace any prior agreements. WebEx may assign or delegate its obligations under this Agreement either in whole or in part, without your prior consent.

    15.5    Neither party will be responsible for failure of performance due to causes beyond its control, like, for example, accidents of God, labor disputes, shortage of materials, acts of terrorism, or the stability or availability of the Internet or a portion of the Internet.

    15.6    You agree that if WebEx does not exercise or enforce any legal right or remedy which is contained in this Agreement, this will not be taken to be a formal waiver of WebEx's rights and that those rights or remedies will still be available to WebEx.

    15.7    If for any reason, a provision of this Agreement is held to be invalid, the remaining provisions will continue to be valid and enforceable.

    15.8    If located in North America or South America, this Agreement shall be governed by the laws of the State of California without regard to its conflict of laws provisions, otherwise this Agreement shall be governed by the laws applicable to you as set forth at:
